服務條款及細則
1. 認知與接受條款
1.1 Searching C 為設計師有限公司（以下稱「本公司」）是依據本服務條款提供 Searching C（www.searchingc.com）服務 (以下簡稱「本服務」)。當您使用本服務時，即表示您已閱讀、瞭解並同意接受本服務條款之所有內容。此外，當您使用Searching C 的特定服務時，可能會依據該特定服務之性質，而須遵守Searching C所另行公告之服務條款或相關規定。此另行公告之服務條款或相關規定（包括但不限於反垃圾郵件政策）亦均併入屬於本服務條款之一部分。
1.2 Searching C 保留隨時更改本服務條款之內容，建議您每次使用本服務時注意有關條款是否修改或變更。您於任何修改或變更後繼續使用本服務，視為您已閱讀、瞭解並同意接受 該等修改或變更。如果您不同意本服務條款的內容，或者您所屬的國家或地域排除本服務條款內容之全部或部份時，您應立即停止使用本服務。
1.3 若您為未滿十八歲，除應符合上述規定外，並應於您的家長（或監護人）閱讀、瞭解並同意本服務條款之所有內容及其後修改變更後，方得使用或繼續使用本服 務。當您使用或繼續使用本服務時，即推定您的家長（或監護人）已閱讀、瞭解並同意接受本服務條款之所有內容及其後修改變更。
2. 註冊和帳戶
2.1 為了能使用本服務，您同意以下事項： (a) 依本服務註冊表之提示提供您本人正確、最新及完整的資料， (b) 維持並更新您個人資料，確保其為正確、最新及完整。若您提供任何錯誤、不實或不完整的資料，Searching C 有權暫停或終止您的帳號，並拒絕您使用本服務之全部或部份。
2.2 您通常無需進行註冊即能使用網站的部分功能或享受大部分服務。但是，要從本網站進行購買必須進行註冊。原因是為了便於本公司能快速列印您的訂單、查看你的購買歷史情況以及修改您的首選項。我們保留隨時拒絕註冊或取消現有註冊的權利。
2.3 完成本服務的註冊登記程序之後，您有責任維持密碼及帳號的機密安全，如果任何授權的第三方知悉您的密碼、對您的電子郵箱進行非授權使用或違反安全有關規 定，在您知情的情況下，請立即通知本公司。您同意將您的使用者姓名或密碼披露給經授權的任何人將作為您享受服務、使用網站及／或通過服務和網站進行交易的 代理人。請注意，您將對因密碼保管不當造成的一切行為負全部責任。
2.4 所有帳戶必須通過常用的電子郵箱進行註冊，目的是為了確保可將變更有關事項發送到該註冊電子郵箱。使用他人電子郵箱或暫時電子郵箱進行註冊的任何帳戶可能在不事先通知的情況下被關閉。在本公司認定某電子郵箱無效時，將要求用戶對帳戶進行重新驗證。
2.5 如果本公司認定某使用者使用代理 IP（互聯網協議位址）以註冊多個帳戶或對本網站或服務造成任何干擾，本公司將保留關閉該帳戶的權利。
3. 使用者的守法義務及承諾
3.1 您承諾和同意絕不為任何非法目的或以任何非法方式使用本服務，並承諾遵守香港相關法規及一切使用網際網路之國際慣例。您若係香港以外之使用者，並同意遵守所屬國家或地域之法令。您同意並保證不得利用本服務從事侵害他人權益或違法之行為，包括但不限於：

- 侵害他人名譽、隱私權、營業秘密、商標權、著作權、專利權、其他智慧財產權及其他權利；
- 違反依法律或契約所應負之保密義務；
- 冒用他人名義使用本服務；
- 上載、張貼、傳輸或散佈任何含有電腦病毒或任何對電腦軟、硬體產生中斷、破壞或限制功能之程式碼之資料；
- 從事不法交易行為或張貼虛假不實、引人犯罪之訊息；
- 濫發廣告郵件、垃圾郵件、連鎖信、違法之多層次傳銷訊息等；
- 以任何方法傷害未成年人；
- 偽造訊息來源或以任何方式干擾傳輸來源之認定；
- 干擾或中斷本服務或伺服器或連結本服務之網路，或不遵守連結至本服務之相關需求、程序、政策或規則等，包括但不限於：使用任何設備、軟體或刻意規避 Searching C 之排除自動搜尋之標頭 (robot exclusion headers)；
- 追蹤他人或其他干擾他人或為前述目前蒐集或儲存他人之個人資訊；
- 其他Searching C 有正當理由認為不適當之行為。

4. 服務享用和網站使用的準則
4.1 本服務有時可能會出現中斷或故障等現象，或許將造成您使用上的不便、資料喪失、錯誤、遭人篡改或其他經濟上損失等情形。您於使用本服務時宜自行採取防護 措施。Searching C 對於您因使用（或無法使用）本服務而造成的損害，除故意或重大過失外，不負任何賠償責任。如果您發現錯誤或疏漏，請聯繫我們 [email protected]。
4.2 本公司不承諾您對服務的享受或網站的使用不受任何干擾，亦不承諾通過服務或網站傳輸的任何資訊（或消息）將得到準確、可靠、及時的傳輸。
4.3 本公司不承諾服務或網站不攜帶病毒或不攜帶可能對任何技術造成不利影響的其他內容。
4.4 此外，雖然本公司努力確保服務和網站的使用不受干擾，但服務和網站的使用隨時可能暫停、限制或終止。
4.5 對於本公司認為可能違反本協議的使用及／或內容，本公司保留對相關使用作出禁止以及對相關內容進行編輯或刪除的權利。
5. 資訊與其他網站進行交互連結
5.1 網站將包括轉至第三方或第三方所提供資源的連結（統稱為“其他網站”），此類其他網站的連結僅為您方便而提供資訊。對於其他網站或其內容、產品或服務 （包括但不限於如 Facebook 的社交網站），本公司無法進行控制，對於與此類網站相關的責任不予承認和承擔，對於您因使用此類網站而遭受的損失或損害，我們概不負責。如果您決定訪問連 結至本網站的任何第三方網站，您將自行承擔一切風險。
5.2 Searching C 隨時會與其他公司、設計師品牌等第三方（「內容提供者」）合作，由其提供包括新聞、訊息、電子報等不同內容供Searching C 刊登，Searching C於刊登時均將註明內容提供者。基於尊重內容提供者之智慧財產權，Searching C對其所提供之內容並不做實質之審查或修改，對該等內容之正確真偽亦不負任何責任。對該等內容之正確真偽，您宜自行判斷之。您若認為某些內容涉及侵權或有 所不實，請逕向該內容提供者反應意見。
6. 廣告
您在本服務中瀏覽到的所有廣告內容、文字與圖片之說明、展示樣品或其他銷售資訊，均由各該廣告商、產品與服務的供應商所設計與提出。您對於廣告之正確性與可信度應自行斟酌與判斷。Searching C 僅接受委託予以刊登，不對前述廣告負擔保責任。
7. 買賣或其他交易行為
設計師品牌或分銷商或個人透過本服務進行商品買賣、服務或其他交易行為，各該買賣或其他合約均僅存在您與各該設計師品牌或個人兩造之間。您應要求各 該設計師品牌或分銷商或個人，就其商品、服務或其他交易標的物之品質、內容、運送、保證事項與瑕疵擔保責任等，事先詳細闡釋與說明。您因前述買賣、服務或 其他交易行為所產生之爭執，應與各該設計師品牌或分銷商或個人協商。
8. 私隱權
請參閱本公司的私隱權政策 。該私隱權政策納入本協議並視為本協議的組成部分。
9. 知識產權
9.1 下列各項所包括的知識產權（包括法規、普通法授予的各項權利以及與版權、專利、商標、服務標章、商號及或／或設計（包括“介面外觀”和其他視覺或非文字 元素）相關的產權）不論註冊與否均為本公司所有或其他權利人依法擁有其知識產權,包括但不限於商標權、專利權、著作權、營業秘密與專有技術等。任何人不得 逕自使用、修改、重製、公開播送、公開傳輸、公開演出、改作、散布、發行、公開發表、進行還原工程、解編或反向組譯。若您欲引用或轉載前述軟體、程式或網 站內容，除明確為法律所許可者外，必須依法取得Searching C 或其他權利人的事前書面同意。如有違反，您應對Searching C負損害賠償責任。
9.2在未取得本公司書面明示同意的情況下，不得通過任何形式或任何途徑對第 9.1 條所述的任何內容進行重現、再分配、複印、分銷、再版、下載、展示、張貼或傳輸、出售、租賃、轉授、創建衍生品，也不得對其進行任何開發。但是，您可以通 過電腦螢幕（包括平板裝置或智能手機）檢索和顯示網站的內容，將此類內容以電子形式存儲在磁片中（但不得存儲在連接至網路的任何伺服器或其他存放裝置中） 或出於個人目的而非商業目的對此類內容進行複印，但規定，您必須保證全部版權和知識產權的完整性。在未取得本公司許可的情況下，您不得出於商業目的對網站 上的或作為服務一部分獲取的任何內容進行重現、更改、複製、分銷或使用。
10. 通知
如依法或其他相關規定須為通知時，Searching C得以包括但不限於：電子郵件、一般信件、簡訊、多媒體簡訊、文字訊息、張貼於本服務網頁，或其他現在或未來合理之方式通知您，包括本服務條款之變更。但 若您違反本服務條款，以未經授權的方式存取本服務，您將不會收到前述通知。當您經由授權的方式存取本服務，而同意本服務條款時，您即同意 Searching C 所為之任何及所有給您的通知，都視為送達。
11. 圖片使用權利
11.1 所有會員或設計師品牌在網站上產生、上傳的資料及圖片，在不違反私隱權和智慧財產權法前提下，Searching C得以使用圖片製作廣告圖示及相關廣告文宣，做為行銷及品牌推廣用途。
11.2 您通過網站或其他方式向本公司發佈或提交的任何內容（本協議稱“內容”）均被視為（以及被本公司視為）非機密資訊（受資料保護法律規定的本公司義務的約 束）。您承諾本公司享有一項無需支付版稅、永久性、不可撤銷、非排他性的許可，根據該許可，本公司可在全球使用、複製、更改、採用、翻譯、出版、銷售任何 內容（而非構想）。
12. 終止
您同意Searching C 得依其判斷因任何理由，包含但不限於一定期間未使用、法院或政府機關命令、本服務無法繼續或服務內容實質變更、無法預期之技術或安全因素或問題、您所為詐 欺或違法行為、未依約支付費用，或其他Searching C認為您已經違反本服務條款的明文規定及精神，而終止或限制您使用帳號（或其任何部分）或本服務之使用，並將本服務內任何「會員內容」加以移除並刪除。您 並同意Searching C 亦得依其自行之考量，於通知或未通知之情形下，隨時終止或限制您使用本服務或其任何部分。您承認並同意前開終止或限制，Searching C 得立即關閉、刪除或限制存取您的帳號及您帳號中全部或部分相關資料及檔案，及停止本服務全部或部分之使用。此外，您同意若本服務之使用被終止或限制 時，Searching C 對您或任何第三人均不承擔責任。
13. 免責條款聲明

13.10 閣下必須遵守及符合所有適用規例及法例，包括取得所有從我們的網站購買商品所需的海關、進口或其他許可。我們不就閣下購買的商品的出口或進口作任何陳述或承擔任何責任。
13.11 閣下同意此等限制就我們的網站性質而言均屬合理，尤其是由於當閣下透過我們的網站購買商品時，將每次與供應商訂立獨立的合約。

本服務條款構成您與Searching C 就您使用本服務之完整合意，取代您先前與Searching C 間有關本服務所為之任何約定。本服務條款之解釋與適用，以及與本服務條款有關的爭議，除法律另有規定者外，均應依照香港特别行政區法律予以處理。
Searching C 未行使或執行本服務條款任何權利或規定，不構成前開權利或規定之棄權。若任何本服務條款規定，經有管轄權之法院認定無效，當事人仍同意法院應努力使當事人 於前開規定所表達之真意生效，且本服務條款之其他規定仍應完全有效。本服務條款之標題僅係為方便起見，不具任何法律或契約效果。 若有任何違反本服務條款之行為，請立即與Searching C 客服聯絡 ([email protected])。

Searching C 用心保護您的個人資訊和資料，讓您在使用我們的服務時無後顧之憂。

Searching C的網站 www.searchingc.com 所有權歸設計師有限公司所有並由其營運。設計師有限公司（本文也稱“本公司”、“我們”）致力於保護您的個人私隱。本公司僅將收集的有關資訊用於合法用途。

2. 個人驗證資訊 – 本公司所收集的 PII 資訊匯總
本公司將收集註冊時的自願個人驗證資訊 (“PII”)，或根據您明確提出的資訊請求進行收集。

向本公司提交 PII 即視為您同意本公司已按照本私隱權政策所規定的方式使用您的資料，對於接收和處理您資料的第三方對相關資料的使用，本公司概不負責。
3. 個人資料蒐集、處理及利用說明
本公司可能透過 Facebook 或類似社群服務系統，於取得您的同意後，將部分本網站的資訊發布於您的社群活動資訊頁面，若您不同意該等訊息之發布，請您勿點選同意鍵，或於事後透過各該 社群服務之會員機制移除該等資訊或拒絕本網站繼續發布相關訊息。若有任何問題，仍可與本公司聯絡，本公司將協助您確認、處理相關問題。 除依法應提供予司法、檢調機關、相關主管機關，或與本公司協力設計師品牌為執行相關活動必要範圍之利用外，本公司將不會任意將您的個人資料提供予第三人。
當本公司或本網站全部或部分分割、獨立子公司經營、被其他第三者購併或收購資產，導致經營權轉換時，本公司會於事前將相關細節公告於本網站，且本公 司或本網站所擁有之全部或部分使用者資訊亦可能在經營權轉換的狀況下移轉給第三人。惟限於與該經營權轉換服務相關之個人資料。若本公司或本網站部分營運移 轉予第三人，您仍為本公司會員，若您不希望本公司後續利用您的個人資料，您可以依本隱私權政策向本公司行使權利。
4. Cookie（資訊記錄程式）

7. 特定環境下的轉移

9.1 僅限歐盟會員之附加條款

Out of respect for the intellectual property rights of the Content Providers, Searching C does not conduct substantive review or modification of the content they provide, nor does it bear any responsibility for the accuracy or truthfulness of such content. You should judge the accuracy and truthfulness of such content yourself. If you believe that certain content involves infringement or is untrue, please directly provide feedback to that Content Provider.
6. Advertisements

9. Intellectual Property
9.1 The intellectual property rights (including rights granted by statutes and common law, and rights related to copyright, patents, trademarks, service marks, trade names, and/or designs (including “look and feel” and other visual or non-text elements)) in the following items, whether registered or not, are owned by the Company or other rightful owners in accordance with the law, including but not limited to trademark rights, patent rights, copyrights, trade secrets, and proprietary technology. No one may directly use, modify, reproduce, publicly broadcast, publicly transmit, publicly perform, adapt, distribute, issue, publicly publish, reverse engineer, decompile, or disassemble them. 12. Termination
